The Legal team
Our globally integrated legal, compliance, privacy, regulatory advocacy and public affairs team comprises over 140 lawyers and other professionals from 18 countries, across four continents. Key responsibilities
Join our dynamic Corporate Governance and Transactions team, which plays a pivotal role in ensuring the company’s adherence to corporate governance standards, as well as legal and regulatory requirements (including MAR) across multiple jurisdictions. Reporting to the Group Corporate Governance and Transactions Director, you’ll collaborate with cross-functional departments such as Legal, Finance, Compliance, IP, Procurement and Investor Relations.
- Assist in the preparation, coordination, and distribution of Group board materials (agendas, minutes, resolutions, reports) through the Company board portal.
- Lead in managing the Company’s insider list management tool and related actions, ensuring compliance with MAR requirements, and support on inside information and share dealing questions.
- Support the maintenance of statutory records and registers for all holding entities within the group, ensuring compliance with local and international regulations.
- Assist in the filing of required corporate documents with regulators and stock exchanges.
- Help coordinate transaction-related processes, including due diligence, disclosure matters and corporate, in collaboration with the Treasury, Legal and Investor Relations teams.
- Help coordinate responses to investor and regulatory requests, as well as KYC requests, in collaboration with the Legal and Investor Relations teams.
- Maintain up-to-date corporate information and documentation for the operating entities, with the external support of a law firm.
- Assist with the maintenance of entity management software and digital board solutions.
- Support the Group Compliance Team in the performance of third-party screening and some of their reporting initiatives.
You are a highly reliable professional, capable of handling sensitive information with the highest level of confidentiality and discretion, demonstrating strong organizational skills and attention to detail across all deliverables.
Experience and Qualifications
Education and background
- Bachelor’s degree in Law or Business Administration.
- Initial experience (1–3 years) in a corporate secretariat, legal, compliance, or governance function — ideally within a multinational, listed, or regulated environment.
- Exposure to company law, corporate filings, and governance frameworks across multiple jurisdictions is highly valued.
Technical knowledge
- Understanding of corporate governance principles and company secretarial procedures.
- Familiarity with general meeting, board and committee processes, entity management, and documentation standards.
- Experience with entity management (e.g., Legisway) and board portal software (e.g., Diligent, AdminControl or similar) considered an advantage.
Fluency in English is required.
